How do I set up a branch office in Japan?
ベトナム本社にて日本に支店を設置することを決定してからの大まかな流れは以下のようになります。

領事館での会社の存在する証明書の認証
本社の決定に基づき、日本の領事館や本国の公証役場にて「会社の存在する証明書」の認証手続きを行います。
日本の領事館で行う場合、会社の存在する証明書の認証手続きは、日本における代表者となる方が領事館にて手続きを行います。
Notarize a certificate which proves an existence of a company at Consulate General of Japan
Based on a decision of a head office, you will carry out a procedure of notarization at Consulate General of Japan or a notary public’s office in Vietnam. If you do at Consulate General of Japan, a representative of a branch office needs to carry out the procedure.
法務局へ外国会社営業所設置登記申請
認証を受けた「会社の存在する証明書」の公証添付書類を準備し、提携の司法書士にて管轄の法務局へ登記申請を行います。
法務局へ登記申請を行ってから約1週間で登記が完了し、登記簿謄本を取得することが可能となります。

Apply a registration with the certificate notarized to Ministry of Justice. After a week, a registration will be completed and you will be able to acquire a registration of a company.
許認可取得・銀行口座の開設・税務関係届の提出等を経て営業開始
法務局での営業所設置登記が完了すると、日本国内での権利義務の主体となることができ、許認可の申請、在留資格の取得などの手続きが可能となります。
また、支店としての銀行口座の開設が可能となります。
様々な必要手続きが完了すると、正式に営業することが可能となります。

Once you have completed a registration of Establishment of a Business Office in Japan, you can be a subject of rights and duties in Japan. You can also carry out a procedure of acquisition of permits and licenses and visa. Besides, you will be able to open a bank account as a branch office. After those processes you can commence business activities officially.
会社の存在する証明書の認証手続き

会社の存在する証明書の認証手続きは、日本における代表者となる方が領事館にて手続きを行います。
日本における代表者はベトナム国籍の方に限らず、いずれの国籍の方でも就任が可能ですが、日本国籍の方なら日本に住所がある方、日本国籍以外の方は日本の在留資格（永住ビザ・経営管理ビザ等）を保有している方である必要があります。
A procedure of notarization of the certificate should be carried out by a representative of a branch office. Not only Vietnamese but all nationalities can be a representative of a branch office as well. Although if a representative is a Japanese he/she should have an address in Japan or is a non-Japanese he/she should have visa (permanent, business manager) in Japan.
